Website Service Agreement
Website Design and Development Services Agreement
1. Scope of Work
The Developer agrees to design, develop, and deliver a fully functional website in accordance with the Client’s approved specifications, goals, and brand requirements. This includes, but is not limited to:
- Website structure, layout, and navigation
- Responsive design (desktop, tablet, mobile)
- Content management system (CMS) setup (e.g., WordPress, Shopify, or custom CMS)
- Graphic design and branding integration
- Search engine optimization (SEO) fundamentals
- Plugin or e-commerce integration (if applicable)
- Testing, debugging, and deployment
Any additional features or content beyond the agreed specification shall require a formal change order.
2. Deliverables and Timeline
The project will commence on agreed upon starting date and is estimated to be completed by the completion date, subject to timely client approvals. A milestone-based schedule will be outlined in an attached Exhibit A with corresponding deadlines and deliverables.
Delays caused by client inaction or late content submission will extend deadlines proportionally.
3. Responsibilities of Each Party
Developer Responsibilities
- Provide professional website design and development services using industry best practices.
- Maintain consistent communication with the Client on project progress.
- Deliver all agreed-upon assets within the final design scope.
Client Responsibilities
- Provide all necessary content, branding, product information, and images by agreed dates.
- Review and approve mockups, revisions, and milestones in a timely manner.
- Supply access credentials (hosting, domain, or third-party accounts) when required.
Failure to comply with client responsibilities may delay project completion.
4. Payment and Fees
Project Fee: Any additional features outside of the scope of the paid package. Thus – $[Amount], agreed upon and decided by Developer and Client, apart from the paid package.
Payment Schedule:
- [X]% upon contract signing (non-refundable deposit)
- [X]% upon approval of design phase
- [X]% upon completion and final delivery
Payments are due within [10/15] days of invoice issuance. Late payments will incur a [2%] monthly finance charge or the maximum amount permitted by law. All payments must be made before the website goes live unless otherwise agreed in writing.
5. Revisions and Change Requests
The Client will receive [two/three] rounds of revisions as part of the project scope. Additional revisions or significant scope changes will be billed at $[Hourly Rate] per hour and must be documented and approved in writing via a change order.
6. Ownership and Intellectual Property
Upon full payment, all rights, title, and interest in the completed website and related materials (excluding third-party assets) shall transfer to the Client.
- The Developer retains rights to showcase the completed website in portfolios, promotional materials, and case studies.
- Third-party licenses (themes, plugins, fonts, or stock media) remain bound by their original terms and are not transferable beyond their existing use license.
7. Confidentiality
Both Parties agree to maintain the confidentiality of each other’s proprietary or sensitive business information, data, and trade secrets. Such information shall not be disclosed to third parties or used for any purpose other than the execution of the Agreement.
8. Testing, Approval, and Launch
Prior to launch, the Developer shall test the website for functionality and compatibility across major browsers and devices. The Client will be provided with a review period to inspect all deliverables. Final client approval is required before going live. Deployment of the live site will occur upon full payment of outstanding fees.
9. Post-Launch Support and Maintenance
The Developer will provide [30/60/90] days of complimentary post-launch technical support to fix errors or bugs. Ongoing maintenance, updates, and feature enhancements are offered under a separate Maintenance Agreement at $[Rate]/month or $[Rate]/hour.
10. Termination
Either Party may terminate this Agreement by providing [15/30] days’ written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Developer will deliver completed work upon receipt of payment. Deposits are non-refundable once work has begun.
11. Liability and Warranty
The Developer will perform all work in a professional manner consistent with industry standards. However, the Developer does not guarantee uninterrupted performance due to external factors such as server downtime, third-party plugins, or user tampering.
The Client agrees that the Developer’s total liability for any claim shall not exceed the amount paid under this Agreement.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Philadelphia County, Pennsylvania. Both Parties agree to attempt mediation before pursuing legal action.
13. Entire Agreement
This Agreement, including any attachments or exhibits, constitutes the full and complete understanding between MyPhillyConnection and the Client. No other agreements, written or verbal, shall override its terms unless formally amended in writing and signed by both Parties.
This Website Design and Development Agreement ensures both MyPhillyConnection and the client have clear, legally protected expectations—covering the scope, payment terms, intellectual property, confidentiality, and post-launch support for every project delivered.
